Acceptance and Scope

These Terms & Conditions (“Terms”) form an agreement between the visitor or purchaser (“you,” “your,” or “customer”) and Titan-X Research (“Titan-X,” “we,” “our,” or “us”). They apply to the website, accounts, content, communications, orders, research materials, and related services.

Additional written terms presented during checkout, promotions, wholesale transactions, or special programs also apply. If additional terms conflict with these Terms, the more specific terms control for that transaction.

Eligibility and Age

You may use the website and purchase products only if you have legal capacity to enter a binding contract and meet the minimum age requirement displayed on the website. Purchases are intended for adults age 21 or older unless applicable law requires a higher age.

If purchasing for a company, laboratory, university, institution, or other organization, you represent that you have authority to bind that organization to these Terms.

Research Use Only

Every Titan-X Research product is offered strictly as a laboratory research material. Products are not drugs, foods, cosmetics, dietary supplements, medical devices, or consumer products and are not intended for human or veterinary use.

Information on the website is provided for catalog identification and general research context. It is not medical, veterinary, pharmaceutical, legal, or professional advice and does not provide instructions for administration, dosing, reconstitution, or clinical use.

Purchaser Representations

By ordering, you represent and warrant that:

• You understand the products are laboratory research materials only.
• You have appropriate knowledge, facilities, procedures, and trained personnel for lawful handling, storage, evaluation, and disposal.
• You will independently determine whether purchase, possession, shipment, and research are permitted in your jurisdiction and institution.
• You will not use, transfer, relabel, resell, market, or distribute products for prohibited human, veterinary, clinical, or consumer purposes.
• You will comply with all applicable laws, regulations, institutional policies, safety rules, and waste-disposal requirements.
• All account, billing, shipping, identity, and transaction information supplied by you is accurate and authorized.

Product Information and Availability

We work to present product names, quantities, concentrations, descriptions, images, availability, documentation, and prices accurately. Minor packaging, label, color, or presentation differences may occur. Website images are illustrative and may not represent the exact lot shipped.

Availability, specifications, documentation, pricing, and promotions may change without notice. We may correct errors, update information, limit quantities, discontinue products, or cancel an affected order. A listing does not constitute a guarantee that a product will remain available.

Any certificate, analytical document, or batch record must be interpreted within its stated scope, method, lot, and limitations. Customers are responsible for conducting any independent verification required by their research protocol.

Orders, Pricing and Payment

An order confirmation acknowledges receipt of your order but does not constitute final acceptance. We may review, hold, limit, reject, or cancel an order for inventory, pricing, compliance, security, suspected fraud, payment risk, restricted destination, or other legitimate business reasons.

Payments may be processed by third-party providers under their own terms. Declined authorizations, bank delays, processor holds, or payment-provider decisions are outside our direct control.

Shipping, Delivery and Risk

Shipping estimates begin after processing and are not guaranteed delivery appointments. UPS 2nd Day Air refers to the carrier service selected and generally measures business days after carrier acceptance; weekends, holidays, weather, address problems, security reviews, and carrier exceptions may affect delivery.

• You are responsible for providing a complete, accurate, and deliverable address.
• You must monitor tracking and arrange prompt receipt at the destination.
• Title and risk of loss transfer as permitted by applicable law and the carrier arrangement.
• Confirmed delivery to the address provided generally completes our delivery obligation, subject to applicable law and documented carrier claims.
• International purchasers are responsible for import permissions, customs, duties, taxes, brokerage, and local restrictions.

Contact support promptly regarding a missing, damaged, or incorrect order and preserve all packaging and shipping materials for review.

Cancellations, Returns and Refunds

Research materials are generally final sale because product handling, storage, integrity, and chain of custody cannot be verified after delivery. Cancellation, damaged-order, missing-item, replacement, credit, and refund requests are governed by our Refund Policy, which is incorporated into these Terms.

A request does not guarantee approval. Do not return any product without written authorization from Titan-X Research.

Prohibited Conduct

You may not use the website or products to:

• Violate law, regulation, institutional policy, or third-party rights.
• Use research materials for human, veterinary, clinical, therapeutic, diagnostic, food, cosmetic, household, or consumer purposes.
• Misrepresent product origin, approval status, intended purpose, documentation, or research-only designation.
• Scrape, crawl, probe, attack, overload, reverse engineer, bypass security, or interfere with the website.
• Use stolen payment information, false identities, automated card testing, fraudulent disputes, or abusive purchasing methods.
• Copy, republish, exploit, or create misleading derivatives of website content, labels, graphics, or documentation.
• Resell or redistribute products in a manner that removes required RUO warnings or suggests approval for prohibited use.

We may restrict access, cancel orders, suspend accounts, preserve evidence, or report suspected unlawful activity when reasonably necessary.

Intellectual Property

The website and its text, design, graphics, product presentation, photographs, logos, icons, software, downloads, and other content are owned by or licensed to Titan-X Research and are protected by applicable intellectual-property laws.

We grant a limited, revocable, non-exclusive, non-transferable license to access the website for lawful personal or internal organizational purchasing purposes. No ownership rights are transferred. Titan-X Research names, logos, trade dress, and branding may not be used without written permission.

Disclaimers

To the fullest extent permitted by law, the website, content, and products are provided on an “as is” and “as available” basis. Titan-X Research disclaims warranties not expressly stated in writing, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, uninterrupted availability, and results from any research protocol.

We do not warrant that the website will be uninterrupted or error-free, that every description will be free from clerical error, or that products will produce a particular experimental result. Nothing on the website is a representation of FDA approval or suitability for clinical use.

Limitation of Liability and Indemnification

To the fullest extent permitted by law, Titan-X Research and its owners, affiliates, personnel, contractors, and service providers will not be liable for indirect, incidental, special, exemplary, punitive, or consequential damages; lost profits, data, opportunity, or research; or damages arising from misuse, unauthorized use, improper handling, storage, transfer, disposal, or reliance on website information.

Where liability cannot be excluded, aggregate liability relating to a product or order will not exceed the amount actually paid to Titan-X Research for the product giving rise to the claim, unless applicable law requires otherwise.

You agree to defend, indemnify, and hold harmless Titan-X Research and its related parties from claims, losses, liabilities, penalties, costs, and reasonable legal fees arising from your violation of these Terms, unlawful conduct, prohibited product use, misrepresentation, or infringement of third-party rights, except to the extent prohibited by law.

Account Security and Communications

You are responsible for maintaining the confidentiality of account credentials and for activity conducted through your account. Notify us promptly of suspected unauthorized access. We may suspend access when reasonably necessary to protect the account, website, or transaction system.

You consent to receive transactional communications electronically, including order confirmations, policy notices, security requests, invoices, shipping updates, and support correspondence. Marketing messages are subject to the consent and opt-out choices provided with those messages.

Disputes and Governing Law

Before filing a formal claim, you agree to contact [email protected] and provide a reasonable opportunity to investigate and resolve the matter informally. This requirement does not prevent either party from seeking urgent relief or exercising rights that cannot legally be waived.

These Terms are governed by the laws of the State of North Carolina and applicable federal law, without regard to conflict-of-law principles. Unless applicable law requires another forum, disputes that are not resolved informally will be brought in a court of competent jurisdiction located in North Carolina.

Nothing in these Terms eliminates non-waivable consumer rights or requires arbitration. Each party retains any rights and remedies available under applicable law.

Changes, Severability and Entire Agreement

We may update these Terms by posting a revised version and effective date. Changes apply prospectively unless applicable law permits otherwise. Continued use after an update constitutes acceptance of the revised Terms.

If a provision is found invalid or unenforceable, it will be limited or removed only to the minimum extent required, and the remaining provisions will remain effective. Failure to enforce a provision is not a waiver. These Terms, together with incorporated policies and transaction-specific terms, constitute the entire agreement concerning the website and purchases.
